1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of www.digikalvi.com and the DigiKalvi school ERP, DK Track and related services (the "Services") provided by Softills Technologies Private Limited ("we", "us", "our"). By accessing the Services, creating an account or paying for a subscription, you agree to these Terms. If you use the Services on behalf of a school or institute, you confirm that you are authorised to bind it.

2. The Services

DigiKalvi is a cloud-based school management platform that includes modules such as student and staff management, attendance, fee management, exams, homework, payroll, transport and bus tracking, reports and mobile apps. Features may be added, changed or improved over time.

3. User Accounts

• Schools control account creation and access for their users
• Users must provide accurate information and keep their login credentials confidential
• Sharing login credentials is prohibited
• You are responsible for all activity under your account

4. Subscription, Pricing and Billing

• Subscriptions are charged per student for the billing period you select (monthly or yearly), as shown on the Subscription Plans page.
• All prices are in Indian Rupees (INR) and exclude GST, which is added at checkout at the applicable rate (currently 18%).
• Fees are payable in advance for the selected period. Your subscription is activated after we receive confirmation of successful payment.
• We may revise prices for future billing periods and will give reasonable advance notice. Changes do not affect a period you have already paid for.
• A tax invoice or receipt is issued for every successful payment.

5. Free Trial

We offer a 30-day free trial with access to all features and no credit card required. No charge is made unless you choose to subscribe to a paid plan.

6. Payments

Online payments are processed by our payment gateway partner, NTT DATA, and your bank. You authorise us and the gateway to charge the amount shown at checkout. We do not store your card, UPI or net-banking credentials. If a payment fails but your account is debited, the amount is normally reversed by your bank; see our Refund & Cancellation Policy.

7. Cancellation and Refunds

You may cancel your subscription at any time to stop future renewals. Refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.

8. Allowed Use

• Use DigiKalvi only for lawful, school-related activities
• Do not reverse engineer, copy, resell or modify the system
• Do not attempt to gain unauthorised access, disrupt the Services or upload harmful code
• Do not misuse data or violate the privacy of students, parents or staff

9. School Responsibilities

• Providing valid, lawful student and staff data and obtaining required consents from parents or guardians
• Managing user roles and permissions within the school
• Ensuring compliance with legal requirements that apply to the school

10. Data Ownership and Privacy

Schools own the data they upload. We process it on the school's behalf to provide the Services, as described in our Privacy Policy.

11. Intellectual Property

The Services, including software, design, logos and content, are owned by Softills Technologies Private Limited or its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Services during your subscription.

12. Service Availability

We aim to keep the Services available and secure, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance, and availability may be affected by factors outside our control.

13. Suspension and Termination

We may suspend or terminate access for misuse, breach of these Terms or non-payment. You may stop using the Services at any time. On termination, your right to use the Services ends; data export and deletion are handled as described in the Privacy Policy.

14. Limitation of Liability

The Services are provided "as is" and "as available". To the extent permitted by law, we are not liable for indirect, incidental or consequential damages, and our total liability for any claim is limited to the fees you paid for the Services in the three months before the claim arose.

15. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date shows the latest revision, and continued use of the Services means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of India, and disputes are subject to the jurisdiction of the competent courts in India.
